Terms and Conditions of the Ubuntu Botho Life service.
UBUNTU BOTHO LIFE TERMS AND CONDITIONS
RECITALS
Whereas the FSP is an authorised financial services provider, registered as such under and in terms of the Financial Advisory and Intermediary Services Act 37 of 2002 (as amended from time to time). The FSP, as part of its business plan, makes use of Juristic Representatives to perform certain services as contained in this agreement on its behalf.
The Juristic Representative is a mandated representative of the FSP in accordance with the Financial Advisory and Intermediary Services Act, Act 32 of 2002.
The FSP hereby authorises the Juristic Representative as part of its business plan to render certain mandated services according to the terms and conditions of this agreement.
The Parties therefore wish to regulate their relationship in this written agreement.
INTERPRETATION AND PRELIMINARY
Ubuntu Botho Life (Pty) Ltd, with registration number 2019/144411/07, acting herein as the juristic representative of Live Wire Customer Centric Solutions CC, with registration number 2005/119541/23, an authorised financial services provider with FSP number: 40374
INTRODUCTION
The following rules of conduct and Champion policies have been established for your protection. They represent the code of ethics by which all Champions must operate. You are encouraged to read and understand them carefully so that you are fully aware not only of your obligations but also of your rights as an Ubuntu Botho Life Champion. Ubuntu Botho Life seeks to work in partnership with all Champions to uphold the highest possible ethical standards and is committed to maintaining the integrity of Ubuntu Botho Life, its sales and marketing plan, and its network of independent Champions.
This Membership Agreement (the "Agreement") is accepted by Champions upon registration with Ubuntu Botho Life Pty Ltd, a Refer and Earn marketing company registered in South Africa under the registration number 2019/144411/07, with its address at Ubuntu Botho Life, One Thibault, Cnr Hans Strijdom and Long Street, Cape Town.
By accessing and using the Ubuntu Botho Life Refer and Earn Platform, Champions acknowledge that they have read, understood, and agreed to be bound by these Terms and Conditions.
GENERAL TERMS
Ubuntu Botho Life Pty Ltd offers a community membership program with embedded insurance and service products under a scheme benefit program.
All new products and services offered via the Ubuntu Botho Life membership program will be introduced at the sole discretion of the Ubuntu Botho Life Pty Ltd Board of Directors. The Board diligently vets and approves product suppliers to ensure the highest quality and value for Champions. These products will be available to Members via the online Ubuntu Botho Life Refer and Earn platform under the 'e-shop' section.
TERMINOLOGY
Throughout this document, the words “he,” “they,” “himself,” and “themself” are used interchangeably, with one gender denoting the other.
NOT A PYRAMID SCHEME
Ubuntu Botho Life is not a pyramid or chain distribution scheme. A pyramid scheme is defined as a system in which an individual pays for the right to recruit others into the scheme, where compensation is primarily derived from recruitment rather than the sale of genuine products or services. Such schemes typically involve a large initial investment, direct compensation for recruitment, and little emphasis on customer value.
Ubuntu Botho Life contains none of these elements. Champions earn income through the referral of insurance policies, products and services provided through Ubuntu Underwriters and Service Providers directly to customers. Income is not earned from recruitment alone, and all Champions must present the business opportunity truthfully, with clear emphasis on referrals and genuine service delivery.
BECOMING A CHAMPION
To become an Ubuntu Botho Life Champion, an applicant must register through the official Ubuntu Botho Life website and provide accurate and complete information, including the name of the sponsoring Champion. Upon approval, the applicant is required to purchase the Ubuntu Botho Life Benefit Plan. Once these requirements are fulfilled and accepted, the applicant becomes a Champion. Ubuntu Botho Life reserves the right, at its sole discretion, to reject any application without providing reasons.
APPLICATIONS FROM FORMER CHAMPIONS
Former Champions who wish to reapply under the same sponsor may do so at any time. If a former Champion wishes to reapply under a different sponsor, a period of at least twelve months must have elapsed since the termination of their previous Champion-ship. All applications are subject to current requirements and approval processes.
EQUAL OPPORTUNITY
The Ubuntu Botho Life opportunity is open to individuals from all walks of life. No discrimination will be tolerated on the basis of gender, race, nationality, religion, or political affiliation.
RESTRICTIONS ON PURCHASE REQUIREMENTS
The only cost required to become a Champion is the purchase of the Ubuntu Botho Life Benefit Plan. No Champion is required to purchase tickets or pay fees to attend meetings, training sessions, or events as a condition of participation or earning potential.
INDIVIDUAL CHAMPION-SHIPS
Ubuntu Botho Life accepts applications only in the name of individuals. Applications from companies, partnerships, or other entities are not permitted. All earnings are attributed to the individual Champion and must be declared under their personal tax identification details.
AGE REQUIREMENT
Applicants must be at least eighteen years of age and legally capable of entering into a binding contractual agreement.
MARRIAGE AND JOINT CHAMPION-SHIPS
Married individuals operating a single Champion-ship must submit a single application and share one sponsor. Liability is joint and several, meaning both individuals are equally responsible for the operation of the Champion-ship and are bound by each other’s actions. Any payment made to one party shall be deemed payment to both.
LIMITATION TO ONE CHAMPION-SHIP
An individual may operate only one Ubuntu Botho Life Champion-ship and may have only one sponsor. A Champion may not participate in or assist the development of another Champion-ship outside of their own network, except within their downline structure.
DUAL CHAMPION-SHIP VIOLATIONS
Where more than one Champion-ship is established by the same individual or household, Ubuntu Botho Life reserves the right to determine which account is valid and to impose corrective measures, including reassignment, penalties, or termination.
CHAMPION-SHIP STATUS AND FEES
Ubuntu Botho Life do not charge a once-off administration or registration fee. Champions are granted active status for a defined period following registration. Should a Champion fail to meet required activity or sales criteria, their status may be changed to that of a Customer, resulting in the loss of commission privileges until such requirements are met again.
TERRITORIAL LIMITATIONS
Champions are authorized to operate only within the Republic of South Africa, specifically within the Rand Monetary Area. All transactions must be conducted in South African Rand. No Champion may claim exclusive rights to any geographic area, and all Champions must maintain a South African bank account and residency status.
EXPORT RESTRICTIONS
No Champion may conduct business activities outside South Africa. This includes referring policies, recruiting individuals, marketing products, or promoting the Ubuntu Botho Life opportunity internationally.
SELLING PRACTICES AND CUSTOMER RELATIONSHIPS
Champions must conduct themselves with courtesy, honesty, and professionalism at all times. All product presentations must be accurate and complete. Customer satisfaction is ultimately fulfilled through the contractual relationship between the customer and Ubuntu Underwriters and Service Providers.
ADVERTISING AND ONLINE CONDUCT
Champions may engage in advertising, including digital platforms such as Facebook, provided such activities are conducted ethically and professionally. Champions may not interfere with the advertising efforts of other Champions or attempt to divert leads dishonestly. All advertising must comply with applicable platform rules and reflect positively on Ubuntu Botho Life. Repeated unethical conduct may result in termination.
INDEPENDENT STATUS OF CHAMPIONS
All Champions operate as independent business persons. No Champion may represent themselves as an employee, agent, or representative of Ubuntu Botho Life or Ubuntu Underwriters and Service Providers. Nothing in this agreement grants authority to provide financial advice, bind any insurer, incur liabilities on behalf of any partner, or alter any policy terms.
FALSE OR MISLEADING INFORMATION
Any Champion who provides false, misleading, or deceptive information regarding Ubuntu Botho Life, its products, or its opportunity may face immediate termination.
INDEMNITY
Each Champion agrees to indemnify and hold Ubuntu Botho Life harmless against any claims, damages, legal actions, or costs arising from their conduct, including breaches of law or these Terms. Ubuntu Botho Life shall not be liable for any losses incurred by a Champion as a result of their own actions or omissions.
COMPLIANCE WITH RULES OF CONDUCT
Champions must comply with all rules of conduct issued by Ubuntu Botho Life, including any amendments, additions, procedures, guidelines, recommendations, or instructions that may be communicated from time to time. Continued participation in Ubuntu Botho Life constitutes ongoing acceptance of all such updated requirements. Each Champion acknowledges that compliance is essential to maintaining the integrity, sustainability, and ethical foundation of the Ubuntu Botho Life network.
VIOLATIONS OF RULES OF CONDUCT
In the event that a Champion violates any rules of conduct, procedures, directives, or instructions issued by Ubuntu Botho Life, the company reserves the sole and absolute discretion to determine appropriate action. Such action may include, but is not limited to, suspension of referral privileges, suspension of earnings, imposition of penalties, financial deductions where applicable, restriction of access to systems, or termination of the Champion-ship. Ubuntu Botho Life shall not be required to provide prior notice before taking action where misconduct is deemed severe or harmful to the organisation or its community.
RESIGNATION
A Champion may resign from Ubuntu Botho Life at any time by submitting a written and witnessed letter of resignation to the company. The resignation shall only become effective once it has been received, validated, and formally accepted by Ubuntu Botho Life. Written confirmation of acceptance will be provided upon completion of the process. Until such confirmation is issued, the Champion remains bound by all terms and obligations of the Champion-ship.
LIABILITY FOR UNPAID DEBTS
Any Champion who resigns or whose Champion-ship is terminated shall remain fully liable for any outstanding debts, obligations, or financial liabilities owed to Ubuntu Botho Life. This includes liabilities arising from breaches of these Terms and Conditions, violations of rules of conduct, or any other contractual obligations incurred during the period of participation. Ubuntu Botho Life reserves the right to recover such amounts through deductions from commissions or any other payments due.
RESIGNATION OF SPOUSE
Where a Champion-ship is jointly held by spouses, the resignation of one spouse shall not automatically dissolve the Champion-ship. However, Ubuntu Botho Life reserves the right to terminate or restructure the Champion-ship if the actions or departure of the resigning spouse negatively affect, diminish, damage, or weaken the reputation, operations, or integrity of Ubuntu Botho Life or its products and services.
TRAINING
Sponsors carry the responsibility to ensure that all personally sponsored Champions complete required training and fully understand both the product offerings and the business opportunity. Sponsors must actively support, guide, and educate their recruits and may seek assistance from their upline structure where necessary. However, the primary responsibility for proper training remains with the sponsoring Champion.
No Sponsor may charge any fee for basic training or onboarding. Where additional or advanced training is offered, participation must be optional, and full disclosure of any associated costs must be provided in advance. If a Champion declines additional training, the Sponsor remains obligated to provide all essential training at no cost.
INDEPENDENT RELATIONSHIP
Each Sponsor is required to maintain and uphold the independent nature of the relationship between themselves and their Champions. No Champion shall be considered an employee, agent, or representative of Ubuntu Botho Life or of any Ubuntu Underwriters and Service Providers. The relationship is strictly that of independent business participation within a structured referral network.
SUPPORT FOR COMPANY-SPONSORED EVENTS
Sponsors are required to inform their Champions of all official Ubuntu Botho Life events, meetings, and training sessions. Where appropriate, Sponsors are encouraged to promote attendance and participation in such events to strengthen knowledge, unity, and engagement within the Ubuntu Botho Life community. Participation remains voluntary unless otherwise specified.
SPONSORSHIP
The relationship between a Champion and their Sponsor forms the foundation of the Ubuntu Botho Life business model. Sponsorship integrity is therefore strictly protected. No Champion may interfere with, disrupt, or attempt to influence the relationship between another Champion and their Sponsor.
No Champion may directly or indirectly encourage, persuade, or induce another Champion to change their Sponsor or line of sponsorship. Any attempt to do so is considered a serious violation of these Terms and may result in disciplinary action, including termination.
Placement of Champions within the network is determined by the official system based on the Sponsor link used at the time of registration or payment. Where discrepancies occur due to multiple registrations or payment routing, placement shall be governed by system records and compliance rules.
Where a correction of placement is requested, Ubuntu Botho Life may permit adjustments only where all conditions are met, including written consent from the current Sponsor, a request made within the allowable timeframe, and confirmation that no recruitment activity has occurred under the incorrect placement.
Where a Champion registers without a Sponsor, Ubuntu Botho Life reserves the right to assign or reassign sponsorship at its discretion. Where an original Sponsor can provide proof of rightful claim within seven days of registration, and where no conflicting conditions exist, reallocation may be considered. Otherwise, the company’s decision shall be final.
VIOLATION OF SPONSORSHIP RULES
Where evidence confirms that a Champion or their spouse has rejoined Ubuntu Botho Life under a different Sponsor prior to the completion of a twelve-month waiting period, Ubuntu Botho Life reserves full discretion to impose penalties. Such penalties may include reassignment of downlines, financial penalties, suspension of privileges, or termination of the Champion-ship.
ASSIGNING OR TRANSFERRING A CHAMPION-SHIP
A Champion-ship may only be transferred or assigned to an individual who is not currently registered as a Champion of Ubuntu Botho Life. Any transfer must be approved in writing by Ubuntu Botho Life prior to becoming effective.
The individual assuming the Champion-ship must complete full registration requirements and comply with all onboarding procedures. Where the transferee was previously a Champion, they must satisfy all re-entry requirements applicable to former Champions.
All achievements, ranks, and benefits associated with the original Champion remain personal to the original individual and do not transfer with the Champion-ship. The new holder must independently qualify for all status levels and earnings.
SEPARATION OR DIVORCE
In cases where a Champion is undergoing separation, divorce, or dissolution of marriage, both parties must ensure that the integrity of the Champion-ship and sponsorship structure is maintained. During such proceedings, neither party may establish, assist in, or participate in any alternative Champion-ship outside of their original Sponsor structure.
AUTHORITY OF LEGAL DECISIONS
Nothing within these Terms and Conditions shall override or supersede any lawful order or ruling issued by a competent court of law regarding ownership, control, or distribution of a Champion-ship, including associated rights, benefits, or obligations.
DEATH OF A CHAMPION
In the event of the death of a Champion, where a surviving spouse or heir is actively involved in the business, the Champion-ship may continue under their control, subject to Ubuntu Botho Life approval. Any alternative transfer or redistribution of the Champion-ship must be formally approved by Ubuntu Botho Life in writing.
PROPER PURCHASING OF PRODUCTS (WHERE APPLICABLE)
All products and services must be purchased directly through Ubuntu Botho Life. All transactions are recorded and used for qualification, commission calculation, and rank determination. Champions are strictly prohibited from purchasing or selling products through unauthorized channels or through other Champions outside approved structures.
Payments must only be made by the registered purchaser, their spouse or partner, or an approved upline Champion where explicitly permitted. Unauthorized payment arrangements are strictly prohibited.
No Champion may place orders in the name of another Champion or process payments on their behalf in a manner that misrepresents system records or manipulates the compensation structure.
VOLUME CYCLE
Sales and qualification volume is calculated on a weekly cycle, beginning on Monday and ending on Sunday. All calculations are based on Greenwich Mean Time, and Ubuntu Botho Life reserves the right to adjust cycle rules where necessary. Volume is only credited in the week in which full payment is received and cannot be reassigned to alternative cycles.
PRODUCT DISTRIBUTION AND ETHICAL USE
Ubuntu Botho Life operates as a structured insurance referral model through Ubuntu Underwriters and Service Providers. Policies must be distributed to genuine customers, and any attempt to manipulate qualification through artificial sales activity, including cancellations following qualification, is strictly prohibited and may result in disciplinary action including termination.
DEBTS OWED TO UBUNTU BOTHO LIFE
Where a Champion owes any debt to Ubuntu Botho Life, the company reserves the right to offset such amounts against any commissions, earnings, or payments due. Ubuntu Botho Life may also withhold payments until all outstanding obligations have been settled in full.
REFUND POLICY
Customers and Champions may request a full refund within fourteen days of purchase. After this period, no refunds shall be permitted under any circumstances. Abuse of the refund system may result in restriction or termination of access to the platform.
DIRECTIONS FOR USE
Champions must present all products and services strictly in accordance with official training materials and approved guidelines. Misrepresentation or deviation from approved usage instructions is strictly prohibited.
DISPLAY AND MARKETING PRACTICES
Champions may promote Ubuntu Botho Life offerings in appropriate environments such as professional offices, events, and approved public spaces. However, all representation must be conducted through official Ubuntu Botho Life channels and systems.
Online advertising is permitted only through approved methods and must not include unauthorized lead generation platforms or misleading promotional techniques.
MEDIA AND COMMUNICATION CONTROL
Only Ubuntu Botho Life or its authorized representatives may engage with media outlets regarding the organisation, its services, or business model. Champions approached by media must refer all enquiries to the company without comment.
BUSINESS REPRESENTATION AND ETHICAL OFFERING
Champions must clearly represent that their primary role is referral-based engagement and must not imply guaranteed income, passive earnings without effort, or mandatory recruitment obligations. All statements must be truthful, verifiable, and compliant with Ubuntu Botho Life standards.
INCOME CLAIMS
All income representations must reflect actual, verifiable results and may not be exaggerated or misleading. Unrealistic income claims are strictly prohibited.
VIDEO, AUDIO, AND BROADCASTING RESTRICTIONS
No Champion may produce or distribute video, audio, radio, or broadcast content referencing Ubuntu Botho Life or its products without prior written approval. Unauthorized broadcasting is strictly prohibited.
LOCAL LAW COMPLIANCE
Champions must comply with all applicable laws and regulations in South Africa when conducting business, including marketing, sales, and promotional activities.
EARNINGS REQUIREMENTS
Earnings are only generated through legitimate product or service referrals and qualifying activities. No income may be derived solely from recruitment or participation without compliance with qualification criteria.
INTELLECTUAL PROPERTY PROTECTION
All trademarks, branding, and intellectual property belonging to Ubuntu Botho Life remain the exclusive property of the company and may not be used without written authorization.
STATIONERY AND MATERIALS
Champions may not produce independent business stationery or branded materials. All official materials must be sourced through Ubuntu Botho Life and must clearly indicate the independent status of Champions.
REPRODUCTION OF MATERIALS
No materials produced by Ubuntu Botho Life may be reproduced, distributed, or altered without prior written permission.
PENALTIES FOR NON-COMPLIANCE
Where unauthorized materials or actions are identified, Ubuntu Botho Life reserves the right to impose corrective measures, including financial liability for damages incurred.
AMENDMENTS TO TERMS
Ubuntu Botho Life may update these Terms and Conditions from time to time. Continued participation constitutes acceptance of any updated version.
BRAND REPRESENTATION
Champions must ensure that all content, communications, and promotional activities align with the values, philosophy, and mission of Ubuntu Botho Life, reflecting positively on Ubuntu Botho Life, its reputation, and its distribution framework. Champions are required to promote the Ubuntu Botho Life brand in an authentic and responsible manner. Personal experiences with products, services, or policies underwritten by Ubuntu Underwriters and Service Providers must be shared truthfully and in a way that maintains integrity, dignity, and respect for customers and the broader community.
PAGE NAMES
Pages, groups, or digital platforms created or managed by Ubuntu Botho Life Champions must not include the names of any individual, sponsor, upline, or third-party branding in any form, whether partially or fully. Only the name “Ubuntu Botho Life” may be used in official branding, page titles, or identifiers. No variations, abbreviations, or derivative branding may be used that could cause confusion or misrepresentation of official company channels.
CONTENT CREATION AND POSTING
Only content that has been officially approved by Ubuntu Botho Life, including written copy, images, videos, presentations, and digital media, may be uploaded or distributed on any social media platform or digital channel used for business purposes. Approved content must be sourced exclusively from the Ubuntu Botho Life marketing resources available via the official back office or authorised Ubuntu Botho Life mobile applications or platforms. Champions may not independently create, modify, or distribute marketing materials unless prior written approval has been granted.
NO INTERFERENCE WITH ADS
Champions must not interfere with, comment on, or engage with other Champions’ or partners’ paid advertisements with the intention of diverting attention, redirecting leads, or influencing customer engagement. This applies whether such interference is intentional or unintentional. All Champions are expected to respect each other’s advertising space and maintain fair and ethical digital conduct at all times.
DISCLOSURE AND TRANSPARENCY
Champions must clearly and consistently disclose that they are independent business persons operating under the Ubuntu Botho Life business model. Champions are not employees, agents, representatives, or financial advisers of Ubuntu Botho Life or of Ubuntu Underwriters and Service Providers. All statements regarding products, services, or policies must be honest, accurate, and based on genuine personal experience. The use of false testimonials, misleading claims, or exaggerated earnings representations is strictly prohibited.
ENGAGEMENT AND INTERACTION
Champions are required to engage with clients, prospects, and community members in a respectful, professional, and timely manner. All communication relating to Ubuntu Botho Life products, services, or opportunities must be handled with courtesy and integrity. Champions may not disclose any personal or sensitive information relating to customers, other Champions, employees, or partners without explicit written consent from the relevant party.
COMPLIANCE WITH LEGAL AND ETHICAL STANDARDS
Champions must comply with all applicable local, regional, and national laws and regulations governing advertising, consumer protection, financial promotion, and electronic communications. All content shared must either be original or properly credited where third-party material is used with permission. Unauthorized use of copyrighted material, trademarks, or proprietary content is strictly prohibited and may result in disciplinary action.
SOCIAL MEDIA CONDUCT
Champions are expected to maintain the highest standards of professionalism in all online and offline interactions. Content shared must not include offensive, discriminatory, defamatory, or harmful material. Champions must avoid engaging in political, religious, or divisive commentary that may negatively impact the reputation of Ubuntu Botho Life or its affiliated partners. Conduct must consistently reflect Ubuntu principles of dignity, respect, and community upliftment.
REPORTING AND ACCOUNTABILITY
Champions are required to promptly report any complaints, compliance concerns, negative feedback, or potential breaches of conduct to the Ubuntu Botho Life compliance or marketing team. Champions must remain open to feedback and demonstrate willingness to adjust their conduct, messaging, or marketing approach where necessary to ensure continued compliance and alignment with Ubuntu Botho Life standards.
CONFIDENTIALITY
Champions must maintain strict confidentiality regarding all internal information belonging to Ubuntu Botho Life, including but not limited to business strategies, product development plans, marketing campaigns, pricing structures, operational systems, and training materials. No confidential information may be disclosed publicly or privately without prior written authorization from Ubuntu Botho Life.
ENFORCEMENT AND CONSEQUENCES
Ubuntu Botho Life reserves the right to monitor all Champion activity, including online and offline conduct, to ensure compliance with this Code of Conduct. Any breach of these rules may result in corrective action, which may include written warnings, suspension of privileges, withholding of earnings, removal from leadership structures, or termination of the Champion relationship. In severe cases, legal action may be taken where reputational or financial harm has occurred.
By participating in Ubuntu Botho Life, all Champions agree to uphold this Code of Conduct and commit to representing Ubuntu Botho Life, its values, and its partners with integrity, responsibility, and respect at all times.
FINAL PRINCIPLE
Ubuntu Botho Life exists on the foundation of unity, dignity, and shared responsibility. Every Champion is part of a collective journey where success is built through integrity, respect, and community.
